Terms of Service

These terms govern your use of Chargly's website, products, and early-access services.

Overview

By accessing or using Chargly.ai ("Chargly", "we", "us", or "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. Chargly provides a credit-based billing and usage metering platform for AI applications, including APIs, SDKs, MCP tools, documentation, and related services.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and API keys. Do not share API keys or allow others to access your account.

Early access / beta services

Chargly is currently offered as an early-access product. Features, APIs, and documentation may change over time. We may add, modify, or discontinue functionality as the platform evolves. Early-access services may have limitations or instability. You use the Service at your own risk during this phase.

Acceptable use

You agree not to use the Service for any illegal purpose or in violation of applicable laws. You may not: attempt to circumvent usage limits or billing controls; reverse engineer or attempt to extract source code from the Service; use the Service to harm, harass, or defraud others; or resell or sublicense the Service in a manner inconsistent with these terms. We may suspend or terminate access for violations.

Billing and payments

Paid plans are billed according to the pricing published at https://chargly.ai/pricing. You are responsible for any applicable taxes. Refunds are handled according to our billing policies. If you use Chargly to collect payments from your end users (e.g., credit top-ups), you remain responsible for your own billing flows and compliance.

Third-party services

Chargly integrates with third-party services, including Stripe for payment processing and authentication providers for account management. Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services. When you enable Stripe or other integrations, you agree to comply with their terms.

Intellectual property

The Service, including its software, documentation, design, and branding, is owned by us or our licensors. You retain ownership of your data and applications. We grant you a limited, non-exclusive, revocable license to use the Service in accordance with these terms. We may use feedback you provide to improve the Service without obligation to you.

Service changes and availability

We may update, modify, or discontinue features, APIs, or documentation at any time. We will use reasonable efforts to provide notice of material changes, but we are not obligated to maintain backward compatibility during early access. The Service may experience downtime for maintenance or other reasons. We do not guarantee uptime or availability.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for how you use the Service in your own applications and for ensuring your use complies with applicable laws.

Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claims arising from or related to the Service is limited to the amount you paid us in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Termination

You may stop using the Service at any time. We may suspend or terminate your access with or without notice for violation of these terms or for any other reason. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, and limitation of liability) will survive termination.

Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware. If any provision is found unenforceable, the remaining provisions remain in effect.
